1. Account and account holder
License purchases are tied to an account holder, typically the entity that purchased the license (the “Account Holder”). For seat-based licenses, the Account Holder may assign seats to individual operators within their organization. By using the Services, you agree that:
- You are authorized to act on behalf of the Account Holder.
- You will not share license keys or seat assignments with third parties outside the Account Holder’s organization.
- You are responsible for all activity performed using your assigned seat, whether or not you personally initiated it.
- You will provide accurate registration information and keep billing and contact details up to date.
- You are at least 18 years of age and have legal authority to enter into binding contracts on behalf of your organization.
- You will maintain the confidentiality of your license keys and credentials. Trekport is not liable for losses arising from your failure to protect them.
2. License grant
Subject to your active subscription and these Terms, Trekport grants you a non-exclusive, non-transferable, revocable license to install and use Trekport Studio and Trekport CLI on machines you or your organization control, solely for the purpose of migrating Oracle databases to PostgreSQL. The license is scoped to the seat count, environment count, and term purchased.
The Services are licensed, not sold. Trekport retains all right, title, and interest in the Services, including all intellectual property rights. No rights are granted to you other than as expressly set out in these Terms.
3. Subscription, billing, and renewal
Trekport is offered on a monthly or annual subscription basis. Subscription fees are billed in advance for the selected term and are non-refundable except as expressly stated in Section 4 or required by applicable consumer protection law.
- Subscriptions renew automatically at the end of each term unless cancelled at least 24 hours before the renewal date.
- Cancellation takes effect at the end of the current billing period. You retain access to the Services until that date.
- Pricing may change. We will notify you of any price changes at least 30 days before the next renewal. Continued use after a price change constitutes acceptance.
- All fees are exclusive of applicable taxes (sales tax, VAT, GST). Taxes are calculated and collected by our payment processor based on your billing address.
4. Refund policy
We offer a 14-day refund window for first-time annual subscriptions, on request, provided you have not used the Services for a complete migration run. Monthly subscriptions are non-refundable. Renewals are non-refundable except where required by applicable consumer protection law in your jurisdiction. Refund requests should be sent to billing@trekport.sh.
5. Free trial
Trekport may offer a free trial limited by database size, object count, or time. Trial usage is subject to all other terms. We may revoke trial access at our discretion for abuse, attempted commercial use, or violation of these Terms.
6. Customer data and confidentiality
Trekport Studio and Trekport CLI run on the operator’s machine. Customer database content (schemas, table data, PL/SQL source, conversion output) is never transmitted to Trekport. Trekport does not have access to, copies of, or visibility into customer database content under any circumstance.
You retain all rights to your database content. Nothing in these Terms grants Trekport any license to your database content. The limited personal information we do collect (account, license, payment, opt-in crash reports) is governed by the Privacy Policy.
7. Acceptable use
You may not, and may not permit others to:
- Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Services, except to the extent permitted by applicable law that cannot be excluded by agreement.
- Resell, sublicense, distribute, lease, or share the Services with parties outside the Account Holder’s organization.
- Use the Services to violate any law, including export-control, sanctions, privacy, or intellectual-property laws.
- Use the Services to process customer data of a third party without that party’s consent.
- Circumvent or attempt to circumvent license enforcement, seat limits, or trial restrictions.
- Use the Services to develop, train, or evaluate a competing Oracle-to-PostgreSQL migration product.
- Introduce malware, attempt to disrupt the license server, or otherwise interfere with the Services.
8. Operator responsibilities
Trekport performs database migration; it does not replace sound migration practice. As the operator, you are responsible for:
- Backing up source Oracle databases before migration.
- Validating the migrated PostgreSQL database — row counts, application behavior, and performance — before cutover.
- Reviewing the conversion report and the classified-error backlog before approving any deployment.
- Ensuring you have authority to access the Oracle and PostgreSQL databases you connect.
- Configuring network-level encryption (SSL/TLS) on the Oracle and PostgreSQL endpoints as required by your environment.
- Complying with any third-party licensing requirements that apply to your source database content.
9. Service modifications and availability
We may add, remove, or change features of the Services from time to time. We will not materially reduce the functionality of a paid feature mid-term without prior notice and either a substitute capability or a pro-rated refund.
The website and license server may experience downtime for planned maintenance, emergency repairs, or causes beyond our reasonable control. Brief license-server unavailability does not interrupt local Trekport Studio or Trekport CLI usage during a valid license’s grace period.
10. Third-party services
The Services integrate with third-party services (Stripe for payments, Resend for email, Vercel for hosting, Cloudflare for bot protection, PostHog for website analytics, Sentry for error monitoring). Your use of those services is also subject to their respective terms. We are not responsible for third-party services, their availability, or their handling of your information beyond our oversight of the processor-controller relationships described in the Privacy Policy.
11. Intellectual property
All right, title, and interest in and to the Services (including software, documentation, design, branding, and the Trekport name and marks) are owned by Trekport and protected by copyright, trademark, and other intellectual property laws. You may not remove or alter any proprietary notices in the Services. Feedback and suggestions you provide may be used by Trekport without restriction.
12. Warranty disclaimer
The Services are provided “as is” and “as available.” To the maximum extent permitted by law, Trekport disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and quiet enjoyment. We do not warrant that the Services will be uninterrupted or error-free, that any particular migration outcome will be achieved for any particular schema, or that defects will be corrected. Some jurisdictions do not allow the exclusion of implied warranties; the above exclusions may not apply to you.
13. Limitation of liability
To the maximum extent permitted by law:
- Trekport’s total cumulative liability arising out of or relating to these Terms or the Services is limited to the fees you actually paid to Trekport in the 12 months preceding the event giving rise to the claim.
- Trekport shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, loss of goodwill, or business interruption, even if advised of the possibility of such damages.
- These limitations apply regardless of the legal theory (contract, tort, statute, or otherwise) on which a claim is based.
Some jurisdictions do not allow the exclusion or limitation of certain damages; the above limitations may not apply to you to the extent prohibited by applicable law.
14. Indemnification
You agree to defend, indemnify, and hold Trekport harmless against any claims, damages, and expenses (including reasonable attorneys’ fees) arising from (a) your use of the Services in violation of these Terms, (b) your violation of any law or third-party right, or (c) your database content, including any rights to or access to that content.
15. Termination
We may suspend or terminate your access to the Services if you materially breach these Terms and fail to cure the breach within 14 days of written notice (or immediately, if the breach cannot be cured). You may terminate by cancelling your subscription at any time. Upon termination, your license to use the Services ends, and you must stop using Trekport Studio and Trekport CLI. Sections that by their nature should survive termination (including IP, disclaimers, liability limits, indemnification, and dispute resolution) will survive.
16. Governing law and dispute resolution
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Services will be resolved exclusively by the state and federal courts located in Delaware, and you consent to the personal jurisdiction of those courts. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
This Section 16 does not affect any non-waivable consumer rights you may have under the laws of your country of residence.
17. Changes to these Terms
We may update these Terms from time to time. Material changes will be posted on trekport.sh and emailed to active subscribers at least 30 days before they take effect. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you may cancel your subscription prior to the effective date and request a pro-rated refund of unused prepaid fees.
18. Miscellaneous
- Entire agreement. These Terms, together with the Privacy Policy and any executed enterprise agreement, constitute the entire agreement between you and Trekport regarding the Services.
- Severability. If any provision is held invalid, the remaining provisions remain in effect.
- No waiver. Failure to enforce any right is not a waiver of that right.
- Assignment. You may not assign these Terms without our written consent. We may assign in connection with a merger, acquisition, or sale of assets.
- Force majeure. Neither party is liable for failure to perform due to events beyond reasonable control.
